Royal Orchid divests Multi Hotels Limited for USD 3.41 million

Subsidiary sold to Tanzania-based Greenleaf Properties Limited as part of ROHL’s portfolio optimisation strategy.

Royal Orchid Hotels Limited (“ROHL”) has announced the successful execution of an agreement for the sale of its subsidiary, Multi Hotels Limited, to Greenleaf Properties Limited. The agreement was executed on January 29, 2026, following the Company’s earlier intimation to stock exchanges.

Multi Hotels Limited ceases to be a subsidiary

Pursuant to the transaction, Multi Hotels Limited has ceased to be a subsidiary of Royal Orchid Hotels Limited with effect from January 29, 2026. The divestment aligns with ROHL’s strategic focus on optimising its portfolio, strengthening its balance sheet, and sharpening emphasis on core hospitality operations across key markets.

Multi Hotels Limited had not commenced commercial operations. The sale enables ROHL to unlock value while reallocating resources towards higher-growth opportunities.

Transaction value and payment terms

The total consideration for the sale of 100% shareholding of Multi Hotels Limited amounts to USD 3,412,500. The consideration will be received in instalments within a period of 120 days from the date of execution of the agreement.

Arm’s length transaction and regulatory compliance

Greenleaf Properties Limited is an independent entity, and the transaction has been carried out on an arm’s length basis, in compliance with applicable regulatory requirements. Chander K. Baljee, Chairman & Managing Director of Royal Orchid Hotels Limited, held a minority shareholding in Multi Hotels Limited, which has also been transferred as part of the transaction.
